Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the FairLAR application and website at fairlar.com (the “Service”), operated by Compliant Mortgage Solutions, LLC (“FairLAR,” “we,” “us,” or “our”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
The Service is intended for business use. By using the Service you represent that you are at least 18 years old and have authority to bind the entity on whose behalf you are accessing the Service.
1. Accounts
You must register for an account, or be invited to one, to use the Service. You are responsible for the accuracy of your account information, for maintaining the security of your credentials, and for all activity that occurs under your account. Notify us promptly at support@fairlar.com if you believe your account has been compromised.
2. Customer Content
“Customer Content” means the data, files, and other materials you submit to the Service. You retain all rights in Customer Content. You grant FairLAR a limited, non-exclusive license to host, process, transmit, display, and otherwise use Customer Content solely to provide and improve the Service for you and to comply with law.
You represent and warrant that you have all rights necessary to submit Customer Content to the Service and to authorize FairLAR’s processing of it as described in these Terms and our Privacy Policy.
3. Acceptable use
You agree not to:
- use the Service in violation of applicable law, including fair-lending, consumer-protection, and data-protection laws;
- submit Customer Content you do not have the right to submit;
- attempt to gain unauthorized access to the Service, other users’ accounts, or our infrastructure;
- probe, scan, or test the vulnerability of the Service except as expressly authorized by us in writing;
- interfere with or disrupt the Service or any related systems or networks;
- reverse engineer the Service, except to the extent applicable law expressly permits;
- use the Service to develop a competing product.
4. Fees
The Service may be offered to you for free during an early-access period or under a paid subscription. If you are subject to a paid subscription, the applicable fees, billing interval, and payment terms will be set out in an order form or written agreement between you and FairLAR. Fees are non-refundable except as required by law or as expressly provided in such written agreement.
5. Service availability
We aim to keep the Service available and performant, but we do not guarantee uninterrupted availability. We may perform planned maintenance, and unplanned outages can occur. We will use commercially reasonable efforts to restore service promptly.
6. No regulatory guarantee
The Service is a tool to help you analyze and document your lending data. The Service does not guarantee compliance with any law, regulation, or supervisory expectation, and does not constitute legal, accounting, or compliance advice. You are solely responsible for decisions you make based on the Service’s output and for engaging qualified advisors where appropriate.
7. Confidentiality
Each party will protect the other party’s non-public information with the same standard of care it uses to protect its own, and will not disclose it except as reasonably necessary to perform under these Terms or as required by law.
8. Intellectual property
The Service, including its software, design, and all related intellectual property, is owned by FairLAR and its licensors. Except as expressly permitted by these Terms, no rights are granted to you. Any feedback you provide may be used by FairLAR without obligation to you.
9. Termination
You may stop using the Service and request account deletion at any time by emailing support@fairlar.com. We may suspend or terminate your access if you materially breach these Terms or use the Service in a way that creates risk for FairLAR or other users. On termination, your right to use the Service ends; provisions that by their nature should survive will survive.
10. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, FairLAR will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or relating to your use of the Service. Our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of one hundred U.S. dollars ($100) or the amounts you paid to FairLAR for the Service in the twelve months immediately preceding the event giving rise to liability.
12. Indemnification
You will defend, indemnify, and hold harmless FairLAR and its officers, directors, employees, and agents from and against any third-party claims arising out of (a) your Customer Content, (b) your use of the Service in violation of these Terms, or (c) your violation of applicable law.
13. Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflicts-of-law principles. The exclusive venue for any dispute arising under or relating to these Terms is the state and federal courts located in Wyoming, and the parties consent to the personal jurisdiction of those courts. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
14. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the “Effective” date above and, where appropriate, by additional notice within the Service. Your continued use of the Service after an update constitutes acceptance of the updated Terms.
15. Miscellaneous
These Terms, together with any order form or written agreement between you and FairLAR, constitute the entire agreement between the parties with respect to the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
